You represent that you are at least 18 years of age and, if you are using the services on behalf of a business or other entity, that you have the authority to bind that entity to these Terms.

Quotestream provides web design, voice agent, and related digital marketing services, along with associated tools, automations, and support (collectively, the “Services”). The specific scope, deliverables, fees, and timelines for any engagement may be set out in a separate proposal, order form, or service agreement, which together with these Terms govern that engagement.

We may modify, suspend, or discontinue any part of the Services at any time, and we may introduce new features or impose limits on certain features. We will make reasonable efforts to notify you of material changes that affect an active engagement.

You agree to provide accurate, current, and complete information when you register, submit forms, or otherwise interact with us, and to keep that information up to date. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.

You are solely responsible for the content, data, and materials you provide to us, including any information about your own customers and leads. You represent and warrant that you have obtained all necessary rights, consents, and authorizations—including, where applicable, valid consent to contact your customers by phone, SMS, or email—before providing such information to us or instructing us to message them on your behalf.

You agree that you will not, and will not permit others to:

• Use the Services in violation of any applicable law, regulation, or third-party right, including telemarketing, anti-spam, and consumer-protection laws (such as the TCPA, CAN-SPAM, and CTIA guidelines).
• Send or facilitate the sending of unsolicited, deceptive, or unlawful messages, or message any recipient who has not provided the required consent or who has opted out.
• Upload or transmit any malware, or attempt to gain unauthorized access to our systems, networks, or data.
• Reverse engineer, decompile, copy, resell, or create derivative works from the Services except as expressly permitted.
• Use the Services to harass, defame, or harm others, or to distribute content that is illegal, infringing, or objectionable.
• Interfere with or disrupt the integrity or performance of the Services.

We may suspend or terminate access to the Services for any violation of these Terms.

The following terms apply to any SMS or text-message program operated by Quotestream. By opting in, you expressly consent to receive text messages from us, and you agree to these SMS Messaging Terms.

Program description. When you opt in, you may receive SMS text messages from Quotestream related to account notifications, service updates, appointment reminders, and—where you have separately agreed—promotional offers. Consent to receive SMS messages is not a condition of purchasing any goods or services.

Message frequency. Message frequency varies based on your interactions with us.

Message & data rates. Message and data rates may apply. Such charges are billed by and payable to your mobile service provider; please contact your carrier for details about your plan.

Opt-out. You may cancel SMS messages at any time by replying STOP to any message you receive from us. After you reply STOP, we will send a single confirmation message, and you will no longer receive SMS messages from us unless you opt back in. You may opt back in at any time by re-subscribing through one of our opt-in methods.

Carrier liability. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is not guaranteed. Supported carriers may change, and we are not responsible for the timeliness or availability of carrier networks.

The website and the Services, including all text, graphics, logos, the Quotestream name and marks, software, and design, are owned by Kota Holdings, LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the website for its intended purpose. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

You retain ownership of the content and materials you provide to us. Ownership of deliverables we create for you (such as a completed website) is determined by the applicable proposal or service agreement; unless otherwise agreed, ownership of paid deliverables transfers to you upon full payment.

The website and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

We do not guarantee any specific results, including any particular number of leads, quote requests, conversions, rankings, or revenue. Any examples or estimates are illustrative and not a promise of performance.

To the fullest extent permitted by law, Quotestream and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the website or Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid to us for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to liability.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts.
